Valet Cyber provides managed IT services, including but not limited to business helpdesk support, network operations center (NOC) services, network management, and related technology services. Specific services are provided as outlined in individual service agreements between Valet Cyber and clients.

Account and Registration

To access certain services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our services in any way that violates applicable laws or regulations
  • Transmit any harmful, threatening, abusive, or otherwise objectionable material
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt our services or servers
  • Use our services to distribute spam, malware, or other harmful software
  • Impersonate any person or entity or misrepresent your affiliation

Service Level Agreements

Specific service level agreements (SLAs), including uptime ensures, response times, and support availability, are defined in individual service contracts. While we strive to meet or exceed all SLA commitments, actual performance may vary based on factors outside our control.

Payment and Billing

Payment terms are specified in individual service agreements. General payment terms include:

  • Services are billed according to the agreed-upon payment schedule
  • Payment is due within the timeframe specified in your invoice
  • Late payments may result in service suspension or termination
  • You are responsible for all applicable taxes
  • Disputes must be raised within 30 days of the invoice date

Intellectual Property

All content, features, and functionality on our website and in our services, including but not limited to text, graphics, logos, and software, are owned by Valet Cyber or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute our content without our express written permission.

Client Data and Confidentiality

We respect the confidentiality of your data. Our handling of client data is governed by our Privacy Policy and individual service agreements. We implement industry-standard security measures to protect your information, though we cannot ensure absolute security.

Limitation of Liability

To the fullest extent permitted by law, Valet Cyber shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use or inability to use our services.

Our total liability to you for any claims arising from or related to our services shall not exceed the amount you paid us in the twelve months preceding the claim.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. You use our services at your own risk.

Termination

We reserve the right to suspend or terminate your access to our services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

You may terminate your service agreement according to the terms specified in your individual service contract.

Indemnification

You agree to indemnify and hold harmless Valet Cyber and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts located in New York County, New York.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
